  • Contracts

    The importance of good contracts to your business cannot be overstated. Good contracts clearly define your rights and responsibilities. Good contracts prevent unnecessary disputes and help resolve disputes that do erupt. Ultimately, good contracts help your business to achieve its long-term commercial objectives.

    Our team works with you to understand your business and identify commercial and legal risks. This enables us to negotiate, draft, review and implement good contracts for your business.

    Practical advice about your contract

    During the term of the contract, we provide practical advice to your business about what to do when one party:

  • breaches terms of the contract either repeatedly or occasionally;
  • demonstrates an unwillingness to – or refuses to - perform the contract;
  • does not perform the contract in “good faith”.

    With our assistance, your business may be able to re-negotiate or terminate the contract whilst avoiding a contractual dispute and preserving the parties’ commercial relationship.

    Contractual disputes

    If a contractual dispute is unavoidable, we formulate a strategy for your business which is likely to bring about the best possible result.

    That strategy may involve seeking a negotiated settlement before legal proceedings are issued. Alternatively, it may involve vigorously enforcing your rights under the contract in the Supreme Court and seeking damages for the loss suffered as a result of the breach of contract.

    Types of contracts

    We have had experience resolving disputes involving many different types of contracts, including:

  • Sale of Business agreements;
  • Licence agreements;
  • Publishing agreements;
  • Financial services agreements;
  • Agreements for the purchase of goods and services;
  • Joint ventures;
  • Verbal or oral contracts;
  • Unjust contracts;
  • Leases; and
  • Partnership agreements.
